Terms and Conditions

These Terms and Conditions govern the contractual relationship between you (the "Customer") and Adrián Corchero López, owner of Overgroups (the "Service"), with Tax ID 53473338V and contact email hello@overgroups.com. By creating an account or subscribing, you accept these Terms. Please read them together with our Privacy Policy and Legal Notice.

1. The Service

Overgroups lets you manage Telegram groups and channels and automate member access: members gain access when they subscribe through your own connected Stripe account and lose it when their subscription ends. We orchestrate access to Telegram; we do not receive, hold or process the payments your members make to you, and we charge no commission on them. The Service relies on third-party platforms, in particular Telegram and Stripe, to operate.

2. Eligibility and account

You must have the legal capacity to enter into a contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity carried out under your account.

3. Plans, prices and taxes

These plans are the platform fee you pay to use the Service, and are separate from any amounts your own members pay you. The features and prices of each plan are those shown on our pricing page at the time of purchase. Prices are stated in the currency indicated there and, where applicable, include or add the taxes required by law (for example VAT). We may change prices for future billing periods, giving you reasonable notice.

4. Billing, renewal and cancellation

Your platform subscription is billed in advance through Stripe and renews automatically at the end of each period (monthly or yearly) unless you cancel before the renewal date. You can cancel at any time from your account; cancellation stops future renewals and takes effect at the end of the current paid period. Except where the law or these Terms require otherwise, payments already made are non-refundable.

5. Right of withdrawal

If you are a consumer, you have the right to withdraw from the contract within 14 calendar days of subscribing, without giving a reason. However, because the Service is supplied digitally and starts immediately, by subscribing you expressly request that it begins during the withdrawal period and you acknowledge that you lose your right of withdrawal once the Service has been fully performed, in accordance with article 103.m) of the Spanish consumer law (TRLGDCU). 6. Acceptable use

You agree not to use the Service to:

• Carry out unlawful activities or distribute illegal, infringing or harmful content.
• Send spam or unsolicited communications.
• Infringe the rights of third parties or breach the rules of Telegram or Stripe.
• Attempt to disrupt, reverse engineer or gain unauthorised access to the Service.

7. Your groups and members

You are solely responsible for the Telegram groups you manage and for the relationship with their members, including the content shared in them. In respect of your members' personal data you act as the data controller and we act as your processor, as described in our Privacy Policy. You must have a lawful basis to manage that data and inform your members appropriately.

8. Third-party services

The Service integrates with Telegram, Stripe and OpenAI. Your use of those platforms is also subject to their own terms. We are not responsible for their availability, changes or decisions, which are outside our control.

9. Availability

We work to keep the Service available and reliable, but we provide it "as is" and do not guarantee that it will be uninterrupted or error free. We may perform maintenance, updates or changes to the Service and will try to limit any disruption.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages, loss of profits or loss of data arising from the use of, or inability to use, the Service. Nothing in these Terms limits liability that cannot be excluded under applicable law, including consumer rights.

11. Suspension and termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully. You may stop using the Service and close your account at any time.

12. Changes to these Terms

We may update these Terms to reflect changes in the Service or the law. The date at the top of this page shows when they were last revised. Material changes will be communicated where appropriate, and continued use after they take effect means you accept them.

13. Governing law and dispute resolution

These Terms are governed by Spanish law. If you are a consumer, you may bring a claim before the courts of your place of residence, and you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
